Often, our strategic advisory collaborations with our clients lead to a conviction that strategic alliances, acquisitions or divestitures represent the most efficient and effective means of attaining the client’s strategic objectives. Our name – Technology Strategies & Alliances – reflects our history of assisting our clients to leverage transactions to achieve organizational objectives.
In support of transaction initiatives, TS&A works closely with each client to:
- Characterize key transaction parameters and criteria
- Identify target alliance candidates that match the identified criteria
- Conduct strategic and business valuations of target candidates
- Assist the client in making go/no-go decisions
- Approach the target candidate to develop enthusiasm and support for the proposed transaction
- Support the client throughout negotiations
- Assist with the critical post-transaction integration of the new entity
Unlike the methodologies used by traditional investment bankers, TS&A works closely with potential transaction partners to help them characterize and extract the unique capabilities and combined competencies of the potential new entity, thus driving them to a valuation that is truly based on synergistic value to the specific client rather than financial metrics.
In support of due diligence initiatives, TS&A brings to bear its breadth and depth of domain and functional expertise to identify, characterize and verify key issues and metrics. Supported by its pool of external subject matter experts when required, TS&A’s team of experienced researchers can provide quick turn-around market studies, technology assessments, competitive assessments, business plan assessments, and valuations, providing cogent written or oral final reports with on-target assessments and recommendations.

A large industrial company was interested in acquiring a division of a defense company, but possessed little internal expertise in defense. At the recommendation of their investment banker, the company hired TS&A to evaluate the target division’s business, markets and competitive position. TS&A’s analysis revealed several previously unidentified factors, which substantially altered the acquiring company’s strategy and the acquisition price ultimately offered.

A technology company engaged TS&A as part of its formal acquisition team to perform independent business and technology due diligence to support its proposed acquisition of a competitor’s defense sector. TS&A’s tasks included analyzing and assessing the current and likely future technology base of the acquisition target, performing a “bottom-up” review of multiple division strategic plans to determine the likelihood of program successes, and projecting individual division and cumulative corporate financial results on a statistical basis. TS&A’s financial projections were used by the client and its investment banker to structure the client’s offering price.
